Rialytix provides informational tools, research, analytics, and data relating primarily to registered investment advisers, wealth management firms, family offices, and the investment advisory industry.

Certain information available through Rialytix is derived from publicly available regulatory filings, including SEC Form ADV filings and other SEC or Investment Adviser Public Disclosure records.

Rialytix is an independent platform and is not affiliated with, endorsed by, sponsored by, or operated by the SEC, FINRA, or any investment adviser displayed on the Service.

The Service is provided for informational, research, and analytical purposes only.

Nothing on Rialytix constitutes:

• investment advice;
• financial advice;
• legal advice;
• tax advice;
• accounting advice;
• a recommendation to hire, retain, avoid, buy from, sell to, or transact with any person or firm;
• an offer to buy or sell securities; or
• a solicitation to engage in any investment strategy or transaction.

Rialytix is not acting as an investment adviser, broker dealer, fiduciary, financial planner, attorney, accountant, or other professional adviser by providing the Service.

Rialytix uses information from public regulatory filings and other sources that we believe to be relevant.

Although we seek to present information accurately, Rialytix does not guarantee that information available through the Service is:

• accurate;

• error free; or
• appropriate for any particular purpose.

Regulatory information may reflect information reported by third parties and may contain reporting delays, amendments, inconsistencies, omissions, or errors.

Users should consult original regulatory filings and other primary sources before relying on material information.

Rialytix may calculate or display:

• historical changes;
• growth rates;
• rankings and comparisons;
• trends and signals;
• classifications;
• summaries; and
• other derived analytics.

These calculations are based on available data and methodologies selected by Rialytix.

A change in reported assets, employees, clients, offices, ownership information, filing information, or other metrics does not necessarily indicate the reason for that change or the financial condition, performance, quality, or future prospects of a firm.

Historical results and historical regulatory information are not guarantees of future results.

Certain content may be generated, summarized, or assisted by automated systems, including:

• firm descriptions;
• summaries;
• classifications;
• analytics; and
• other informational content.

Such content is intended to help users navigate and understand underlying information. It should not replace review of the applicable regulatory filing or primary source.

Rialytix does not guarantee that automated or summarized content will capture every qualification, disclosure, amendment, exception, or relevant circumstance contained in the underlying documents.

Rialytix may allow users to subscribe to notifications relating to selected investment advisers or CRD numbers.

Watchlist alerts are provided for informational purposes only. Rialytix does not guarantee that notifications will be:

• complete;
• immediate;
• uninterrupted; or
• delivered for every regulatory filing, amendment, data change, or other event.

A notification does not indicate that a change is material, positive, negative, or otherwise significant.

Users should review the applicable underlying regulatory filing or primary source when evaluating an alert.

Users may voluntarily subscribe to newsletters, watchlists, or other email communications made available through Rialytix.

• you are responsible for providing an email address that you are authorized to use;
• you are responsible for maintaining access to that address; and
• you may unsubscribe or modify applicable email preferences using the controls provided in the relevant communication.

Rialytix may provide a contact form for users to submit:

• RIA profile correction or update requests;
• business inquiries;
• sponsorship or partnership inquiries;
• technical issues or feedback;
• media or press inquiries; and
• other general communications.

When using the contact form, you agree to:

• provide information that is accurate to the best of your knowledge;
• use an email address that you are authorized to use; and
• avoid submitting unlawful, fraudulent, abusive, misleading, malicious, or unsolicited promotional content.

Submission of a contact form does not create an advisory, fiduciary, contractual, or other professional relationship with Rialytix.

You assume responsibility for determining whether information available through Rialytix is suitable for your intended use.

You should not rely solely on Rialytix when performing:

• regulatory review;
• compliance review;
• legal review;
• investment analysis;
• operational analysis;
• employment decisions;
• vendor due diligence; or
• other decisions where independent verification is appropriate.

You may use Rialytix for lawful personal, professional, informational, and research purposes.

You may not:

• use the Service for unlawful, fraudulent, or abusive purposes;
• attempt to gain unauthorized access to Rialytix systems or infrastructure;
• interfere with the operation or security of the Service;
• deliberately circumvent technical restrictions or access controls;
• introduce malware or other harmful code;
• impersonate another individual or organization;
• use automated methods that impose an unreasonable burden on Rialytix infrastructure; or
• use Rialytix content in a manner that falsely suggests endorsement, affiliation, or sponsorship.

The following may be owned by Rialytix or its licensors and may be protected by intellectual property laws:

• the Rialytix name and branding;
• website design;
• software;
• original analytics;
• organization and presentation;
• graphics; and
• original content.

Public government records and third party materials remain subject to their respective ownership, public domain status, licensing terms, and applicable law.

Nothing in these Terms transfers ownership of Rialytix intellectual property to you.

The Service may contain information originating from or links to third parties.

Rialytix does not control and is not responsible for the:

• accuracy;
• availability;
• policies;
• products;
• services;
• security; or
• practices of third parties.

A link or reference to another organization does not constitute an endorsement.

We may modify, add, remove, suspend, or discontinue any portion of Rialytix at any time.

We do not guarantee that the following will always remain available:

• the Service;
• any particular feature;
• email notifications; or
• any particular dataset.

To the fullest extent permitted by law, Rialytix and the Service are provided on an "as is" and "as available" basis.

Rialytix disclaims all warranties, express or implied, including warranties relating to:

• merchantability;
• fitness for a particular purpose;
• accuracy;
• reliability;
• availability;
• title; and
• non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error free, or free from harmful components.

To the fullest extent permitted by applicable law, Rialytix and its owners, operators, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your access to or use of the Service.

This includes damages arising from:

• reliance upon information;
• missed or delayed notifications;
• loss of data;
• loss of profits;
• business interruption;
• investment decisions; or
• inability to access the Service.

Where applicable law does not permit certain limitations, those limitations will apply only to the maximum extent permitted by law.

To the extent permitted by law, you agree to indemnify and hold harmless Rialytix and its owners, operators, affiliates, and representatives from claims, liabilities, losses, damages, and expenses arising from:

• your unlawful use of the Service; or
• your material violation of these Terms.

We may update these Terms periodically. The "Last updated" date at the top of this page identifies the most recent revision.

Your continued use of Rialytix after revised Terms become effective constitutes acceptance of those revised Terms.

These Terms will be governed by the laws of the State of New York, without regard to conflict of law principles, except where applicable law requires otherwise.
