BPFP WAS THE SUBJECT OF A DISCIPLINARY ACTION BROUGHT BY THE MARYLAND DIVISION OF SECURITIES ("DIVISION") IN JANUARY 2021. BALLAST POINT FINANCIAL PLANNING LLC ("BPFP") FILED AN APPLICATION FOR REGISTRATION WITH THE MARYLAND DIVISION OF SECURITIES ("DIVISION") ON AUGUST 23, 2019. THE DIVISION SENT DEFICIENCY LETTERS TO BPFP ON AUGUST 27, 2019 AND SEPTEMBER 12, 2019, REQUESTING ADDITIONAL INFORMATION (COPY OF ADVISORY CONTRACT AND FORM OF UNDERTAKING) TO COMPLETE THE APPLICATION. BPFP DID NOT RECEIVE THE DEFICIENCY LETTERS AND ERRONEOUSLY PRESUMED THE REGISTRATION WAS COMPLETE. ON NOVEMBER 5, 2020, THE DIVISION SENT A THIRD DEFICIENCY LETTER, TO WHICH BPFP PROMPTLY RESPONDED. BPFP EMPLOYED AN INVESTMENT ADVISER REPRESENTATIVE ("IAR") WHO RELOCATED TO MARYLAND IN JULY 2019. THE IAR WAS THE LEAD ADVISER FOR APPROXIMATELY 36 CLIENTS, THREE OF WHOM RESIDED IN THE STATE OF MARYLAND. WITHOUT HOLDING A HEARING IN THE MATTER, WITHOUT TRIAL OR ADJUDICATION, BPFP AND THE DIVISION AGREED TO SETTLE THE MATTER BY THE EXECUTION OF A CONSENT ORDER ON JANUARY 6, 2021. IN ACCORDANCE WITH THE CONSENT ORDER, BPFP PAID A CIVIL MONETARY PENALTY OF $2,500, AND PAID UNPAID REGISTRATION FEES FOR 2020 AND 2021 IN THE AMOUNT OF $750. UPON THE EXECUTION OF THE CONSENT ORDER AND PAYMENT OF THESE AMOUNTS, BPFP'S REGISTRATION WAS APPROVED AND IS CURRENTLY IN GOOD STANDING. TO SUMMARIZE, THE PRIMARY ISSUE WAS BPFP EMPLOYED AN IAR IN MARYLAND WHO PERFORMED ADVISORY SERVICES BEFORE BPFP WAS OFFICIALLY REGISTERED WITH THE STATE. THE DIVISION DID NOT INDICATE THAT ANY CLIENTS WERE HARMED DUE TO THIS DEFICIENCY.
